Terms of Service

Last updated: August 1, 2026

These Terms of Service (the “Terms”) set forth the conditions of use for the AI shopping assistant “SingulaShop” (the “Service”) provided by Itsuki Ebina (the “Company”). Users shall use the Service upon agreeing to these Terms.

Article 1 (Applicability)

  • These Terms apply to all relationships between the Company and users in connection with use of the Service.
  • Any individual provisions, guidelines, notices, or similar materials separately established by the Company on the Service constitute part of these Terms.
  • If these Terms conflict with any individual provision referred to in the preceding item, the individual provision shall prevail unless it expressly provides otherwise.

Article 2 (Definitions)

The following definitions apply to terms used in these Terms.

  • “Service” means the AI-powered product search, recommendation, and information presentation functions provided by the Company, and all related features.
  • “User” means an individual or legal entity that agrees to these Terms and uses the Service.
  • “External Operator” means a third-party seller, e-commerce site, or other business whose information the Service presents or to which the Service links.
  • “AI Output” means text, recommendations, and information such as prices, inventory, and specifications that the Service generates or collects via AI, web search, or similar means and presents to users.

Article 3 (Role and Positioning of the Service)

Based on user input, the Service uses AI and web search to collect, summarize, and present information about products and related offerings sold by External Operators, and to guide users to External Operators’ pages (referral).

Contracts for the purchase and sale of products and related offerings are formed directly between the user and the External Operator. The Company is not a party to such contracts and does not act as agent, intermediary, broker, or guarantor with respect to them.

Quality, content, price, inventory, display, delivery, returns and exchanges, warranties, after-sales service, and all other matters relating to transactions are governed by the conditions established by the External Operator, and the Company assumes no responsibility for them.

Article 4 (Account Registration)

  • Use of certain features of the Service requires account registration. Users shall register true and accurate information and keep it up to date at all times.
  • Users shall manage their authentication credentials at their own responsibility and shall not permit third parties to use them, or lend, assign, or otherwise dispose of them. Acts performed through an account shall be deemed acts of the user.
  • The Company may refuse or cancel registration if registration information is false or if the Company reasonably determines registration to be inappropriate.

Article 5 (Use by Minors)

  • If a minor uses the Service (especially a paid plan), the minor shall obtain prior consent from a legal representative such as a parent or guardian.
  • If a user uses the Service by fraudulent means, such as misrepresenting their age, the user may not cancel acts relating to such use.

Article 6 (Fees and Payment)

  • The content, fees, and renewal interval of paid plans (generally monthly) are as displayed on the Service (including the pricing page) or as shown by the App Store at purchase.
  • Payment channels depend on the environment of use: (1) Web: credit card payment through a payment processor designated by the Company (such as Stripe); (2) iOS app: payment through Apple’s App Store (in-app purchase). The Company may use subscription-management services such as RevenueCat to sync subscription status.
  • Payment information such as credit card numbers is obtained and processed by Stripe or Apple and is not stored on the Company’s servers.
  • If a user purchases paid plans on both the web and the iOS app, the user may be charged twice. Users shall cancel unnecessary subscriptions and avoid duplicate contracts. The Company may display a notice when a duplicate subscription is possible.
  • Fees are prepaid and, except where required by law, where Apple’s refund process applies, or where separately approved by the Company, shall not be refunded for any reason. Refunds for App Store purchases follow the procedures established by Apple.

Article 7 (Free Trial and Renewal)

  • The Company may offer a free trial for a limited period (for example, three days) for eligible plans (for example, Standard). Eligibility and conditions may differ by purchase channel (Stripe or the App Store) and by Apple’s or the Company’s determination.
  • Where a free trial is offered, after the trial period ends, unless the user cancels within the period, the user may automatically move to a paid plan and be charged the prescribed fees.
  • Users may stop the next renewal (cancel) at any time by the method prescribed by the Company (web settings/customer portal, or App Store subscription settings). Even if cancellation occurs mid-period, fees corresponding to that period are not refunded except where required by law or where Apple’s refund process applies.

Article 8 (Plan Changes and Fee Revisions)

The timing of upgrades and downgrades is governed by the purchase channel and the “About Subscriptions” description separately established by the Company (for example, upgrades may take effect immediately and downgrades at period end). Plan changes in the iOS app may be governed primarily by App Store / StoreKit rules.

The Company may change the fees and plan content of the Service by giving users notice with a reasonable lead time. If a user continues to use the Service after a change takes effect, the user shall be deemed to have agreed to that change.

Article 9 (Usage Limits)

  • The Service may impose monthly AI credit caps and other usage restrictions according to the plan. Unused AI credits generally do not roll over to the next month.
  • Specific limits, reset timing, and labels (credits/tokens) are as shown on the pricing page or elsewhere on the Service.
  • The Company may, within a reasonable scope, restrict a user’s use of the Service to ensure stable system operation and prevent unauthorized use.

Article 10 (Prohibited Conduct)

In using the Service, users shall not engage in, or cause any third party to engage in, any of the following acts.

  • Acts that violate laws or public order and morals
  • Acts that infringe the intellectual property rights, privacy, portrait rights, reputation, or other rights or interests of the Company, External Operators, or third parties
  • Acts that interfere with operation of the Service or place excessive load on servers or networks
  • Acts of obtaining, collecting, or accumulating the Service or AI Output by automated means such as bots, scrapers, or crawlers (except where the Company has granted prior written permission)
  • Acts of using the Service or AI Output for the development, learning, training, or evaluation of services that compete with the Company, or of artificial intelligence or machine learning models or datasets
  • Acts of circumventing, or attempting to circumvent, usage limits, authentication, or other technical restrictions or protective measures
  • Acts of reverse engineering, decompiling, or disassembling the Service, or otherwise attempting to analyze its source code or structure
  • Acts of reselling, redistributing, or commercially using information obtained through the Service or AI Output without the Company’s prior written consent
  • Acts of registering false information or impersonating another person
  • Acts of providing benefits to antisocial forces or otherwise associating with them
  • Any other acts that the Company reasonably determines to be inappropriate in light of the purpose of the Service

Article 11 (Disclaimer Regarding AI Output)

  • AI Output is automatically generated or collected via AI and web search, and the Company does not warrant its accuracy, completeness, currency, usefulness, or fitness for a particular purpose.
  • AI Output may contain errors, outdated information, inaccurate prices, inventory, or specifications, or inappropriate content. Before making a purchase or other decision, users shall themselves verify the latest and accurate information on the External Operator’s sales pages or elsewhere.
  • AI Output is intended for general information purposes and does not constitute medical, legal, tax, financial, investment, or other professional advice.

Article 12 (Prices, Inventory, and Product Information)

  • Prices, inventory, points, shipping costs, specifications, multi-store price comparisons (including estimated landed prices with shipping), and similar information displayed by the Service are reference information (indicative) as of the time of collection and may differ from actual conditions.
  • Displayed External Operators and product information may center on Japan-oriented stores (such as Amazon.co.jp, Rakuten Ichiba, and Yahoo! Shopping) or overseas stores (such as Amazon.com, Walmart, Target, and Best Buy), depending on the user’s region, language settings, and other factors.
  • Final purchase conditions shall be those displayed on the External Operator’s sales page.

Article 13 (External Links and Affiliate Programs)

In connection with AI-powered product search and recommendations, the Service displays links to sales or search pages of Amazon, Rakuten Ichiba, Yahoo! Shopping, and other External Operators. These recommendations and links may include affiliate advertising.

  • Not every external link is an affiliate link. Links to non-affiliate stores may also be displayed.
  • When a user clicks an affiliate link, the user is redirected to the External Operator’s website. After redirection, transactions, displays, handling of information, and all other matters are governed by the terms and privacy policy established by that External Operator, and the Company assumes no responsibility for the content, products, services, or privacy practices of external sites.
  • If a user purchases products or takes other actions via an affiliate link, the Company may receive affiliate commissions or other fees (performance-based compensation) from the External Operator or an affiliate service provider. Such compensation is borne by the External Operator or similar party; the user incurs no additional cost as a result, and it does not affect the purchase price or other transaction terms.
  • Whether affiliate compensation is received is not intended to impair the neutrality or objectivity of information displayed by the Company, and the Company strives to provide information that benefits users. Nevertheless, as set forth in Article 11, AI Output and recommendations are provided without any warranty as to accuracy, usefulness, or similar qualities.
  • The names of Amazon, Rakuten Ichiba, and other marketplaces are trademarks or registered trademarks of the respective companies. The Company does not represent that it has any partnership, sponsorship, endorsement, or other relationship with these operators.
  • As a participant in the Amazon Associates Program, the Company earns income from qualifying purchases. “As an Amazon Associate I earn from qualifying purchases.”
  • Tracking technologies such as cookies and transmission of information in connection with use of affiliate links are governed by the Privacy Policy and Cookie Policy.

Article 14 (Intellectual Property Rights)

  • Intellectual property rights in the Service and all related content (including programs, designs, user interfaces, trademarks, logos, instructions to AI (prompts), databases, and editorial arrangement and composition) belong to the Company or the rightful owners.
  • The Company grants users only a non-transferable, non-exclusive, and revocable right to use the Service to the extent necessary to use it in accordance with these Terms. Except for that license, these Terms do not transfer or grant any rights to users.

Article 15 (License to Use User Content and Inputs)

  • Rights in content that users input or transmit to the Service (including search queries, chat messages, and feedback; “User Content”) remain with the user.
  • Users grant the Company a royalty-free right, without geographic or temporal limitation, to reproduce, modify, adapt, store, and use User Content (including the right to sublicense) for providing, maintaining, protecting, and improving the Service; for developing, learning, training, and evaluating artificial intelligence and machine learning models; and for statistics and analysis.
  • Use for model-improvement purposes may be subject to opt-out by logged-in users via “Help improve the model” in settings, as described in the Privacy Policy and the AI Disclaimer & Training Use Notice. Details after opt-out are governed by the Privacy Policy.
  • Details of the Company’s handling of User Content and personal information are set forth in the Privacy Policy.
  • Users shall not input highly confidential information or information that may infringe third-party rights.

Article 15-2 (Native Apps)

  • The Service may be provided as a native application on platforms such as iOS, in addition to the website.
  • For authentication in native apps, the Service may use deep links via custom URL schemes (for example, callbacks to return to the app) and may store session-related information in on-device storage.

Article 16 (Changes, Suspension, and Termination of the Service)

  • The Company may change, add to, or discontinue all or part of the content of the Service without prior notice to users.
  • The Company may suspend or stop provision of the Service without prior notice in cases of system maintenance, failures, force majeure, or other unavoidable circumstances.
  • Except as otherwise provided in these Terms, the Company assumes no responsibility for damages arising to users or third parties from measures taken under this Article.

Article 17 (Suspension of Use and Account Deletion)

  • If a user violates these Terms or the Company otherwise reasonably determines it necessary, the Company may temporarily suspend the user’s use of the Service or delete the account without prior notice.
  • The Company assumes no responsibility for damages arising to users from measures taken under this Article.

Article 18 (Disclaimer of Warranties)

The Service is provided “as is.” With respect to the Service and AI Output, the Company makes no warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, availability, continuity, absence of errors or defects, and non-infringement of third-party rights. This does not apply where disclaimer is not permitted by law.

Article 19 (Limitation of Liability)

  • Except in cases of the Company’s willful misconduct or gross negligence, the Company assumes no responsibility for damages arising to users in connection with the Service.
  • Even where the Company is liable notwithstanding the preceding paragraph, the Company assumes no responsibility for incidental, indirect, special, or consequential damages, or lost profits.
  • Even where the Company is liable notwithstanding the preceding paragraphs, the Company’s liability for damages—regardless of whether the claim arises from breach of contract, tort, or any other cause—shall be limited to the total fees for the Service paid by the user to the Company during the 12 months preceding the occurrence of the damage. If no such payment has been made, the maximum amount shall be 1,000 yen.
  • The provisions of this Article do not apply to the extent that limitation of all or part of the Company’s liability is not permitted under the Consumer Contract Act or other mandatory laws.

Article 20 (Indemnification by Users)

If a user violates these Terms or causes damage to the Company or a third party in connection with use of the Service, the user shall compensate the Company for damages suffered as a result (including reasonable attorneys’ fees).

Article 21 (Force Majeure)

If provision of all or part of the Service is hindered by natural disasters, war, terrorism, riots, epidemics, enactment or amendment of laws, administrative guidance, failures of communications lines or electric power, suspension of third-party services used by the Company (such as AI providers, payment processors, or cloud providers), or other circumstances beyond the Company’s reasonable control, the Company assumes no responsibility.

Article 22 (Exclusion of Antisocial Forces)

Users represent and warrant that they are not members of organized crime groups or other antisocial forces, and that they have no socially condemned relationship with such forces. If the Company determines that a user has violated this provision, the Company may, without any demand, suspend use, delete the account, or take other necessary measures.

Article 23 (Changes to These Terms)

  • The Company may change these Terms based on Article 548-4 of the Civil Code and other applicable laws.
  • When changing these Terms, the Company will give prior notice of the changed content and effective date by posting on the Service or other appropriate means.
  • If a user uses the Service on or after the effective date, the user shall be deemed to have agreed to the changed Terms.

Article 24 (Notices and Communications)

Notices or communications from the Company to users regarding the Service shall be given by posting on the Service or by sending to the contact details registered with the Company.

Article 25 (Assignment of Rights and Obligations)

  • Users may not assign, transfer, or encumber their status under these Terms or all or part of their rights and obligations under these Terms to a third party without the Company’s prior written consent.
  • If the Company transfers the business relating to the Service to a third party, the Company may transfer to that assignee its status under these Terms, its rights and obligations under these Terms, and registered information in connection with such business transfer, and users hereby consent in advance to such transfer.

Article 26 (Severability)

Even if any provision of these Terms or any part thereof is held invalid or unenforceable under applicable law, the remaining provisions of these Terms and the remaining part of that provision shall continue in full force and effect.

Article 27 (Entire Agreement)

These Terms constitute the entire agreement between the Company and users regarding use of the Service and supersede all prior agreements, representations, and understandings between the Company and users.

Article 28 (Governing Law and Jurisdiction)

  • These Terms shall be governed by the laws of Japan.
  • All disputes arising out of or relating to the Service or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
